1. Scope and contracting party
These General Terms and Conditions govern the use of EXITA and contracts concluded through it. The contracting party is Panthea Group AG, Industriestrasse 28, 9100 Herisau, Schweiz (hereinafter “Panthea”).
Deviating terms apply only if Panthea expressly agrees to them in text form. Mandatory statutory rights remain reserved.
2. EXITA and scope of services
EXITA is a digital administrative preparation and execution service operated by Panthea Group AG. Customers prepare information during life; EXITA Complete includes the prepared initial administrative death-case service without an additional execution fee.
After independently verified death, EXITA starts only prepared and authorised initial notifications, cancellation, contract termination and contact requests within legal and operational limits. The accepted primary contact or another legally authorised person handles subsequent correspondence and final institutional follow-up. EXITA is not a general correspondence service.
3. Clear limitations
EXITA does not provide legal advice, estate administration, banking, insurance or funeral services, does not draft wills and offers no suicide assistance or assisted dying.
EXITA is neither affiliated with EXIT nor a subsidiary, partner or member organisation of EXIT. Legally significant decisions must be clarified with appropriately qualified professionals.
4. Account and access security
Customers must provide accurate information when registering, protect their credentials, use offered two-factor authentication carefully and report suspected unauthorised access without delay.
EXITA is not a password manager. Passwords for banks, email accounts, platforms or other third-party services must not be stored in free-text fields or collected in the document vault as a set of credentials.
5. Data quality and cooperation
Accuracy, completeness and currency of customer data are essential to the service. Customers are responsible in particular for provider details, contract and account references, wishes, ICE details and information about powers of representation and disposition.
Contradictory or evidently incomplete information may be blocked, rejected or referred for manual review. To the extent permitted by law, Panthea is not responsible for consequences of inaccurate, incomplete, outdated or misattributed customer data.
6. ICE trusted persons
The customer designates ICE trusted people and their granular, revocable permissions. For the intended post-death service, the primary contact must expressly accept the role; necessary disclosure of their contact details requires separate auditable consent. The new acceptance and handoff process remains pending separate approval.
The role does not automatically make a person an heir, legal representative or executor and does not make them personally liable for the deceased’s debts. False, abusive or unauthorised death reports and activations are prohibited.
7. Proof of death and verification
Uploading a death certificate does not automatically confirm its authenticity. EXITA may require technical checks, human review or additional evidence.
Illegible, contradictory, incomplete or suspicious evidence blocks execution and is referred for controlled manual review.
8. Prepared execution
Eligibility uses the independently verified date of death and historical EXITA Complete entitlement, including a valid contractual cure period. Delayed reporting does not erase a valid accrued right. A subscription purchased or reactivated after death creates no retroactive entitlement; suspension effective before death or a previously expired entitlement period excludes new rights.
No execution occurs without certain eligibility, independent verification, required mandate and consent, an accepted contact role and legal, document-safety and operational approvals. Uncertain cases remain blocked for eligibility review. Deliberate activation covers only reviewed initial actions; payment alone does not establish execution readiness.
9. Independent third parties
Authorities, insurers, banks, landlords, telecommunications and subscription providers, and other recipients act independently of Panthea. EXITA cannot control their processes, availability, requirements or response times.
Panthea therefore does not guarantee acceptance of a cancellation, a response from an authority, legal receipt of an email, a response within any particular period or the legal effect of an initiated action.
10. Meaning of status information
SENT or DISPATCHED means a transmission was technically initiated or handed to the intended channel. This is not equivalent to DELIVERED, ACKNOWLEDGED, ACCEPTED or COMPLETED.
EXITA displays known status stages separately. A missing response from a third party must not be interpreted as successful completion.
11. Limits of automation
EXITA aims for a high degree of automation in standardisable administrative processes. Universal automation of 95 per cent, or any particular degree of automation in an individual case, is not guaranteed.
Provider-specific forms, unavailable interfaces, legal special cases and unclear data may require personal clarification.
12. Availability and changes to the service
Panthea operates EXITA with appropriate professional care. Uninterrupted availability is not promised. Maintenance, security measures, disruptions, failures of external systems and force majeure may temporarily limit use.
Functions relevant to security or stability may be temporarily restricted. Material changes to ongoing paid contractual services will be communicated transparently.
13. Products and prices
EXITA FREE costs CHF 0. EXITA Complete costs a total of CHF 49.– per year, including 8.1% Swiss VAT. One annual subscription includes the agreed paid preparation features and the initial administrative death-case service. There is no additional execution fee and no add-on, monthly, lifetime or trial product.
EXITA Complete renews annually until canceled. Before a binding order, the service scope, VAT-inclusive total price, renewal, cancellation and exact contractual versions are displayed. Paid ordering remains blocked until tax, legal and operational approvals are verified.
14. Electronic contract conclusion
Before placing a paid order, the customer can review and correct their entries. The order summary states the product, scope, term, total price, renewal logic and applicable version of these Terms and links to the Privacy Notice.
A paid contract is concluded only upon a confirmation clearly labelled as creating a payment obligation and the subsequent electronic contract confirmation. While the payment function is marked DRY_RUN or an expression of interest, no paid contract is concluded.
15. No voluntary general right of withdrawal
Panthea does not grant a voluntary general right of withdrawal unless this is expressly provided in the offer. Mandatory statutory rights of withdrawal, cancellation or warranty remain unaffected.
16. Payment, refunds and disputes
An unsuccessful first purchase grants neither paid services nor a cure period. If a renewal payment fails, existing Complete entitlement continues during the valid cure period. Three separate customer notices are scheduled at days +3, +10 and +20; card retries are not customer notices. The final notice states the amount, recovery link, final payment deadline, planned suspension date and consequences. At least ten days remain to pay after its actual dispatch; delayed or failed dispatch must not shorten that period.
After the valid deadline expires without payment, future Complete services are suspended and further collection attempts stop. Valid accrued rights remain preserved. Successful payment cancels pending reminders and planned suspension. Panthea uses no debt collection or enforcement proceedings and charges no late fees or interest for this subscription. Later reactivation requires a genuinely paid subscription and does not apply retroactively to a death. Mandatory payment, refund and consumer rights remain reserved.
17. Electronic communication
The customer accepts email and notices in the protected EXITA area as ordinary communication channels. Security-relevant notices may require additional authentication.
Confirmation of sending does not automatically prove legal receipt by the recipient.
18. Permitted use
Prohibited conduct includes fraudulent death reports, false identities, unauthorised document uploads, attacks, abusive scraping, system manipulation and reverse engineering outside limits mandatorily permitted by law.
Panthea may block suspicious activity, preserve evidence, provisionally suspend accounts and take legally required steps.
19. Intellectual property rights
EXITA software, design, processes, text and brand remain the property of Panthea or are subject to licence rights used by Panthea. Contractual use grants no ownership of these elements.
20. Liability
Panthea is responsible for its own breaches under applicable law. Liability for intentional misconduct or gross negligence and any other mandatory statutory liability is neither excluded nor limited.
Independent third parties decide whether to accept and complete requests. Their conduct is not a guarantee of outcome by Panthea and does not release Panthea from responsibility for its own errors. Inaccurate customer information and absent authority are assessed under applicable law; no blanket liability exclusion is agreed.
21. Data protection
The separate Privacy Notice identified in each case applies to the processing of personal data. Optional consents are separate from processing necessary for contractual, security and evidentiary purposes.
22. Termination, suspension and account deletion
Normal cancellation prevents the next renewal and preserves an already legitimately paid entitlement period until its end. Nonpayment suspension and voluntary cancellation are distinct. A death claim accrued during valid entitlement remains preserved when reported later; death after expiry or effective suspension creates no new Complete entitlement.
The FREE account and access to privacy rights, export and deletion requests remain available after nonpayment suspension. Customer data is not automatically deleted. Statutory retention, active cases, protection and evidence duties, consent, audit and accounting requirements may limit immediate deletion of individual data; mandatory data-subject rights remain respected.
23. Changes to these Terms
Panthea may change these Terms for future use. Material changes to ongoing paid contractual terms will be communicated in good time and transparently. There is no unlimited unilateral retroactive change.
Where mandatory law requires consent, it is obtained before the change takes effect.
24. Applicable law and jurisdiction
Swiss law applies, excluding conflict-of-law rules, unless mandatory law provides otherwise.
Mandatory places of jurisdiction and consumer rights remain reserved. No exclusive jurisdiction prohibited by law is agreed with consumers.
25. Severability
If a provision is wholly or partly invalid or unenforceable, the remaining provisions remain in force to the extent permitted by law. The statutory rule replaces the invalid provision; an arbitrary retroactive replacement with an economically similar clause is not presumed.
26. Version and entry into force
Version 1.3. Draft updated: 8 October 2026. External legal review, regulatory service classification, the transmortem mandate and post-death service scope are not approved; an effective date remains pending.
Previously accepted contractual versions and their evidence remain unchanged. The exact language and document version incorporated into a new contract is recorded with the electronic confirmation in a verifiable manner.
